MSRB Brings On Peg Henry From UBS as Associate General Counsel

WASHINGTON - The Municipal Securities Rulemaking Board has hired Margaret "Peg" Henry as an associate general counsel.

Henry, who starts at the MSRB today, comes to the board from UBS Securities LLC in New York where she was a director and senior attorney representing the firm's municipal securities group. She has more than 25 years of legal experience working in the municipal bond industry, in private practice as well as at the Securities and Exchange Commission, the House Ways and Means Committee, the Treasury Department, and New York City.

"Peg is one of the most experienced municipal bond attorneys around," said MSRB executive director Lynnette Hotchkiss. "Her legal work both for issuers and underwriters provides an exceptional perspective for the MSRB."

The board's hiring of Henry comes after it recruited Lawrence Sandor as an associate general counsel last month. Sandor is formerly chief compliance officer of Wachovia Securities LLC in Richmond.

Both Henry, Sandor, and Leslie Carey, whom the board hired this summer, report to Ernesto Lanza, the board's general counsel. The hirings come after a number of departures from the board's legal team this fall, including long-time in-house counsel Diane Klinke, whom Lanza replaced as general counsel.

Prior to working at UBS, Henry was a partner at Winston & Strawn in New York, where she served as underwriters' counsel to several large investment banking firms on tax-exempt bond issues.

Henry worked at the SEC's Office of Municipal Securities from 2001 to 2002. Prior to that, she was a partner and head of the public finance group at the Torys law firm in New York City. Before that, she was special counsel to O'Melveny & Myers LLP and a partner at the now-defunct firm of Mudge Rose Guthrie Alexander & Ferdon.

Henry served as tax counsel to New York City's Office of Management and Budget in 1995 and 1996. She was a managing director at the former Smith Barney Inc. from 1992 to 1994.

Before that, she served as tax counsel to the House Ways and Means Committee. She also was on the staff of the Joint Tax Committee. She moved to Congress after serving as tax legislative counsel at the Treasury Department, where she focused on municipal bond regulation.

Henry received a law degree from the George Washington University in 1977 and an LLM in taxation in 1981. She received a bachelor's degree from Georgetown University in 1974.
